    Welcome to Omuna. Please read these Terms of Service ("Terms") carefully before using our website at joinomuna.com and any related services (collectively, the "Service"). These Terms constitute a legally binding agreement between you and Omuna Inc., a Delaware corporation ("Omuna," "we," "our," or "us").

    By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


    1. Overview of the Service

    Omuna is a free, web-based platform that helps individuals and families navigate the logistical, legal, financial, and administrative tasks that follow the loss of a loved one or arise during end-of-life planning.

    The Service includes, but is not limited to:

    • Personalized, state-specific task checklists
    • A notification writer tool for drafting letters to agencies, institutions, and service providers
    • An obituary writer tool
    • A memorial page feature (currently in Beta)
    • A secure document and information vault ("The Lockbox") (coming soon)
    • Referrals to vetted third-party service providers

    The specific features and tools available may change over time as we develop and improve the Service.


    2. Important disclaimers — not professional advice

    THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ IT CAREFULLY.

    Omuna is an informational and organizational tool. Omuna does NOT provide legal, medical, financial, tax, accounting, insurance, or any other form of professional advice.

    The checklists, guides, templates, and other content provided through the Service are for general informational and organizational purposes only. They are not a substitute for professional counsel. Laws, regulations, deadlines, and requirements vary by state, county, and municipality and change frequently. While we make reasonable efforts to keep our content accurate and current, we do not guarantee that any information provided through the Service is complete, accurate, or applicable to your specific situation.

    You should always consult a qualified attorney, accountant, financial advisor, insurance professional, or other appropriate expert before making legal, financial, tax, or insurance decisions.

    Omuna is not a law firm, accounting firm, financial advisory firm, insurance provider, funeral home, or healthcare provider. No attorney-client, fiduciary, or professional-client relationship is created by your use of the Service.

    If you rely on information provided through the Service without seeking independent professional advice, you do so at your own risk.


    3. Eligibility and accounts

    • Age Requirement: You must be at least 18 years of age to create an account or use the Service. By creating an account, you represent and warrant that you are at least 18 years old.
    • Account Registration: To access certain features, you must create an account by providing accurate, current, and complete information. You agree to update your information as necessary to keep it accurate.
    • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at security@joinomuna.com if you suspect any unauthorized use of your account.
    • One Person Per Account: Each account is for a single individual. You may not share your account credentials with others. If you wish to collaborate with family members or other individuals, use the collaborator invitation feature described in Section 5.

    4. User content and data ownership

    • Your Content: You retain full ownership of all information, data, documents, notes, and other content you enter into the Service ("User Content"). We do not claim any ownership rights over your User Content.
    • License to Operate: By using the Service, you grant Omuna a limited, non-exclusive, non-transferable license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your account.
    • Accuracy: You are responsible for the accuracy of the User Content you enter. Omuna does not verify the accuracy of user-entered information and is not liable for errors in User Content.
    • Backup: While we take reasonable measures to protect your data (see our Privacy Policy), you are encouraged to maintain your own copies of important documents and information. We are not responsible for the loss of User Content due to circumstances beyond our reasonable control.

    5. Collaborators

    Invitation: You may invite other individuals ("Collaborators") to view and interact with your checklist by providing their email address. Each invitation is at your sole discretion.

    Your Responsibility: When you invite a Collaborator, you are responsible for ensuring that:

    • The individual is an appropriate recipient of the shared information
    • You have the right to share any information visible in the shared checklist
    • The Collaborator is at least 18 years of age

    Collaborator Access: Collaborators can see tasks, notes, and progress within the shared checklist. By default, sensitive fields (account numbers, policy numbers, and similar data) are hidden from Collaborators unless you explicitly choose to make them visible.

    Revocation: You may remove a Collaborator's access at any time. Access is revoked immediately upon removal.

    Omuna's Limitation: Omuna is not responsible for any actions taken by Collaborators you have invited, including any misuse of information they access through a shared checklist.


    6. Partner referrals and third-party services

    How Referrals Work: Omuna may recommend third-party service providers ("Partners") — such as funeral homes, estate attorneys, financial advisors, grief counselors, and other professionals — within your checklist based on your location and the phase of your process. These recommendations are how Omuna sustains the platform as a free service. For full details on how referrals work and what data is shared, see our Privacy Policy.

    Not Endorsements: Recommendations of Partners do not constitute endorsements, warranties, or guarantees of any kind. Omuna does not guarantee the quality, accuracy, timeliness, or completeness of any Partner's services.

    Independent Relationships: If you choose to engage with a Partner, any resulting relationship is solely between you and that Partner. Omuna is not a party to any agreement, transaction, or dispute between you and a Partner. The Partner's own terms of service and privacy policy will govern your relationship with them.

    No Liability for Partners: To the maximum extent permitted by law, Omuna shall not be liable for any act, omission, error, negligence, misrepresentation, or misconduct of any Partner, or for any loss, injury, or damage arising from your engagement with a Partner.

    Your Control: You can disable Partner recommendations entirely in your account settings. Your checklist functions identically without them. No data is shared with a Partner unless you affirmatively choose to connect with them.


    7. Acceptable use

    You agree not to:

    • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
    • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
    • Submit false, misleading, or fraudulent information
    • Attempt to gain unauthorized access to the Service, other accounts, or any systems or networks connected to the Service
    • Interfere with or disrupt the Service, servers, or networks connected to the Service
    • Use the Service to transmit malware, viruses, or other harmful code
    • Scrape, crawl, or use automated means to access the Service without our prior written consent
    • Use the Service to harass, abuse, or harm another person
    • Reverse engineer, decompile, or disassemble any part of the Service
    • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
    • Use the Service in any way that could damage, disable, or impair the Service or interfere with any other party's use

    We reserve the right to suspend or terminate your account and access to the Service, without prior notice, if we reasonably believe you have violated these Terms.


    8. Intellectual property

    Omuna Content: The Service, including its design, text, graphics, logos, icons, images, software, and all other content created by Omuna (collectively, "Omuna Content"), is the property of Omuna and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Omuna Content without our prior written consent.

    Trademarks: "Omuna," the Omuna logo, and other Omuna marks are trademarks of Omuna. You may not use these marks without our prior written permission.

    Feedback: If you provide us with suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, modify, and incorporate that Feedback into the Service without any obligation to you.


    9. Beta features

    Certain features of the Service may be designated as "Beta" or otherwise identified as experimental, early access, or in development. Beta features are provided "as is" and "as available" without any warranties. We may modify, suspend, or discontinue Beta features at any time without notice. Your use of Beta features is at your own risk, and we are not liable for any issues arising from their use.


    10. Text messages and SMS communications

    Consent: By providing your phone number and opting in to receive text messages from Omuna, you expressly consent to receive recurring automated text messages from Omuna Inc. at the phone number you provide. These messages may include checklist reminders, task notifications, account alerts, and other service-related communications. Consent is not a condition of using the Service.

    Message Frequency: Message frequency varies based on your account activity and notification preferences. You control which notifications you receive through your account settings.

    Opt-Out: You may opt out of text messages at any time by replying STOP to any message you receive from us. After you send STOP, we will send you a single confirmation message. You will no longer receive text messages from us unless you re-enroll. You may also manage your text message preferences in your account settings or by emailing privacy@joinomuna.com.

    Help: For help with text messages, reply HELP to any message or email hello@joinomuna.com.

    Message and Data Rates: Message and data rates may apply depending on your mobile carrier and plan. Omuna is not responsible for any charges incurred from your mobile carrier.

    Supported Carriers: Omuna's text messaging service is supported by major US carriers. Carriers are not liable for delayed or undelivered messages.

    Compatibility: Not all mobile devices or carriers may be compatible with our text messaging service. Omuna is not responsible for messages that cannot be delivered due to device or carrier limitations.

    Privacy: We will not share your phone number with third parties for their marketing purposes. Your phone number will be used only for the purposes described in this section and our Privacy Policy.     Compliance: Our text messaging program complies with the Telephone Consumer Protection Act (TCPA), the Cellular Telecommunications Industry Association (CTIA) guidelines, and all applicable federal and state regulations governing text messaging.


    11. Community features and user-generated content

    Omuna may offer community features, including but not limited to discussion forums, support groups, shared resources, and comment sections (collectively, "Community Features"). By using Community Features, you agree to these Terms and the Community Guidelines below.

    Community Guidelines

    You agree to:

    • Treat all community members with respect and empathy
    • Share only your own experiences and perspectives
    • Respect the privacy of other members — do not share another member's personal information or story outside the community
    • Use content warnings when discussing topics that others may find distressing
    • Report content that violates these guidelines

    You agree NOT to:

    • Post hateful, discriminatory, abusive, harassing, threatening, or violent content
    • Post spam, advertisements, or commercial solicitations
    • Impersonate another person or misrepresent your identity
    • Share medical, legal, financial, or tax advice (you may share your personal experience, but not advice in a professional capacity)
    • Post content that exploits or endangers minors
    • Post sexually explicit or graphic content
    • Solicit personal information from other members
    • Post content that infringes on any third party's intellectual property or privacy rights
    • Use Community Features to recruit, proselytize, or promote political causes
    • Attempt to circumvent moderation or bans

    User-Generated Content: When you post content in Community Features ("Community Content"), you retain ownership of your content. However, you grant Omuna a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your Community Content solely in connection with operating and improving the Community Features. This license terminates when you delete your content or your account.

    Visibility: Content you post in Community Features may be visible to other community members. You control your display name and profile visibility in your account settings. Be mindful that anything you share in community spaces can be viewed by other members.

    Moderation: Omuna reserves the right, but is not obligated, to monitor, review, edit, or remove any Community Content at our sole discretion. We may remove content that violates these guidelines or that we determine is harmful, misleading, or inappropriate for the community. We may also suspend or revoke community access for repeated or severe violations.

    No Professional Advice: Community Features are peer-support spaces. Content shared by community members represents personal experiences and opinions, not professional advice. Omuna does not endorse, verify, or guarantee any information shared by community members. Always consult a qualified professional for legal, medical, financial, or other professional matters.

    Reporting: If you see content that violates these guidelines, report it through the reporting tool within the community or by emailing hello@joinomuna.com. We will review reports promptly.

    Email Notifications: We may send you periodic emails about community activity, such as replies to your posts or updates in groups you follow. You can manage these notifications in your account settings or unsubscribe from community emails at any time.

    Safety: If you or someone you know is in immediate danger, contact emergency services (911) immediately. If you encounter content that suggests someone may be at risk of self-harm, please report it immediately using the reporting tool. Omuna is not a crisis service and cannot provide emergency intervention.


    12. Disclaimer of warranties

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

    WITHOUT LIMITING THE FOREGOING, OMUNA DOES NOT WARRANT THAT:

    • (a)THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
    • (b)THE INFORMATION, CONTENT, OR MATERIALS PROVIDED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, OR CURRENT;
    • (c)ANY CHECKLISTS, GUIDES, OR TASK LISTS WILL COVER ALL TASKS REQUIRED IN YOUR SPECIFIC SITUATION;
    • (d)STATE-SPECIFIC INFORMATION WILL REFLECT THE MOST CURRENT LAWS, REGULATIONS, OR REQUIREMENTS;
    • (e)ANY ERRORS OR DEFECTS IN THE SERVICE WILL BE CORRECTED; OR
    • (f)THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.

    YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.


    13. Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

    • (a)OMUNA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF OMUNA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
    • (b)OMUNA SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM:
      • (i)YOUR RELIANCE ON ANY INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING CHECKLISTS, GUIDES, OR TASK LISTS;
      • (ii)THE ACTS, OMISSIONS, OR CONDUCT OF ANY THIRD-PARTY PARTNER OR SERVICE PROVIDER;
      • (iii)UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR USER CONTENT;
      • (iv)ANY MISSED DEADLINES, INCORRECT FILINGS, OR OTHER CONSEQUENCES RESULTING FROM ERRORS OR OMISSIONS IN THE SERVICE'S CONTENT;
      • (v)ANY OTHER MATTER RELATING TO THE SERVICE.
    • (c)IN NO EVENT SHALL OMUNA'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED ONE HUNDRED DOLLARS ($100.00).
    • (d)THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY (WHETHER CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ANY REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.

    SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.


    14. Indemnification

    You agree to defend, indemnify, and hold harmless Omuna, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

    • (a)Your use of the Service;
    • (b)Your violation of these Terms;
    • (c)Your violation of any applicable law or regulation;
    • (d)Your User Content;
    • (e)Your interactions with any Partner or third-party service provider; or
    • (f)Your invitation of Collaborators and their subsequent actions.

    15. Dispute resolution and arbitration

    PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

    Agreement to Arbitrate: You and Omuna agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (each, a "Dispute") will be resolved exclusively through binding individual arbitration, rather than in court, except that either party may bring individual claims in small claims court if they qualify.

    Arbitration Rules: Arbitration will be administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration will be conducted by a single arbitrator, in the English language. The arbitrator's decision will be final and binding.

    Location: The arbitration will take place in the county where you reside or, if you prefer, by telephone or video conference.

    Class Action Waiver: YOU AND OMUNA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

    Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to legal@joinomuna.com within 30 days of first accepting these Terms. Your notice must include your name, address, email address, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, either party may pursue claims in a court of competent jurisdiction.

    Governing Law: These Terms and any Disputes will be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

    Severability of Arbitration: If any part of this arbitration provision is found to be unenforceable, the remaining parts will still apply. If the class action waiver is found to be unenforceable, then the entire arbitration provision shall be void (but the rest of these Terms will remain in effect).


    16. Digital Millennium Copyright Act (DMCA)

    If you believe that content available through the Service infringes your copyright, please send a written notice to our designated copyright agent containing:

    • (a)A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
    • (b)Identification of the copyrighted work claimed to have been infringed;
    • (c)Identification of the material that is claimed to be infringing and its location on the Service;
    • (d)Your contact information, including address, telephone number, and email address;
    • (e)A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and
    • (f)A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

    17. Availability and modifications to the Service

    Availability: We strive to keep the Service available at all times, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

    Modifications: We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the Service.

    No Liability: We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.


    18. Termination

    By You: You may stop using the Service and delete your account at any time by contacting us at privacy@joinomuna.com. Upon deletion, your data will be handled as described in our Privacy Policy.

    By Us: We may suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms.

    Effect of Termination: Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including but not limited to: Disclaimers (Section 2), Intellectual Property (Section 8), Disclaimer of Warranties (Section 12), Limitation of Liability (Section 13), Indemnification (Section 14), Dispute Resolution (Section 15), and this provision.


    19. Changes to these Terms

    We may update these Terms from time to time. When we make material changes, we will:

    • Notify you by email at least 14 days before the changes take effect (if you have provided us with your email address)
    • Post a notice on our website
    • Update the "Last updated" date at the top of these Terms

    Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.


    20. General provisions

    • Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Omuna regarding the Service and supersede all prior agreements and understandings.
    • Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
    • Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or of our right to enforce it in the future.
    • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
    • Notices: We may provide notices to you via email (to the email address associated with your account), in-app notification, or by posting on the Service. You may provide notices to us by email at the addresses listed in these Terms.
    • Force Majeure: Omuna shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet or power outages, or acts of terrorism.
    • No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.
    • Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.
